1. Acceptance of Terms

Welcome to MulPix. These Terms of Service ("Terms," "Agreement," or "Terms of Service") constitute a legally binding agreement between you ("User," "you," or "your") and MulPix ("Company," "we," "us," or "our") governing your access to and use of the MulPix website located at mulpix.com (the "Site") and all related services, features, content, and applications offered by MulPix (collectively, the "Services").

BY ACCESSING OR USING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE OUR SERVICES. Your continued use of the Services following the posting of any changes to these Terms constitutes acceptance of those changes.

These Terms of Service are entered into in conjunction with, and are supplementary to, our Privacy Policy, which describes how we collect, use, and protect your personal information. By agreeing to these Terms, you also agree to our Privacy Policy.

2. Definitions

For the purposes of these Terms of Service, the following definitions shall apply:

• "AI-Generated Images" or "Images" means any digital images, artwork, graphics, or visual content created using artificial intelligence, machine learning, or diffusion model technologies that are made available through our Services.
• "Content" means all text, images, graphics, photographs, videos, audio, data, information, and other materials displayed, performed, or made available on or through the Services, including AI-Generated Images and associated metadata such as prompts, titles, descriptions, and keywords.
• "Download" means the act of copying, saving, or transferring any AI-Generated Image from our Services to your device, storage medium, or any other location.
• "License" means the permission granted to you under these Terms to use, reproduce, modify, and distribute AI-Generated Images subject to the conditions and limitations set forth herein.
• "Personal Use" means use by an individual for non-commercial purposes, including but not limited to personal projects, educational activities, artistic endeavors, and private enjoyment.
• "Commercial Use" means any use intended to generate revenue, profit, or commercial advantage, including but not limited to use in advertisements, products for sale, business marketing materials, and commercial publications.
• "Derivative Work" means any work based upon one or more AI-Generated Images, including but not limited to modifications, adaptations, transformations, translations, or works created by incorporating, manipulating, or combining AI-Generated Images with other content.
• "Services" means the MulPix website, all associated web pages, the image gallery, search functionality, download services, and any other features, content, or applications offered by MulPix.

3. Description of Services

MulPix operates an online gallery and repository of AI-Generated Images created using advanced artificial intelligence and machine learning technologies, including but not limited to diffusion models such as Stable Diffusion XL and similar state-of-the-art image generation systems.

3.1 Services We Provide

Our Services include, but are not limited to:

• A curated gallery of high-quality AI-Generated Images spanning various styles, subjects, and artistic interpretations
• Search functionality allowing users to discover Images by keywords, categories, and related terms
• Free image downloads in various resolutions and formats
• Display of original AI generation prompts and metadata associated with each Image
• Related image suggestions and category browsing features

3.2 Service Availability

We strive to maintain continuous availability of our Services; however, we do not guarantee that the Services will be available at all times or without interruption. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice, for any reason, including but not limited to maintenance, upgrades, or technical issues.

3.3 No Account Required

MulPix is designed to be accessible without requiring user registration or account creation. You may browse, search, and download Images without providing any personal information. However, by using our Services, you agree to be bound by these Terms regardless of whether you have created an account.

4. Eligibility

By accessing or using our Services, you represent and warrant that:

4.1 Age Requirements

• You are at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, whichever is greater; OR
• You are at least sixteen (16) years of age and have the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf

4.2 Legal Capacity

• You have the legal capacity and authority to enter into a binding agreement
• If you are using the Services on behalf of an organization, you have the authority to bind that organization to these Terms

4.3 Geographic Restrictions

• You are not located in, under the control of, or a national or resident of any country to which the United States has embargoed goods or services
• You are not identified on any U.S. government list of prohibited or restricted parties
• Your use of the Services complies with all applicable local, state, national, and international laws and regulations

5. Image License Grant

Subject to your compliance with these Terms, MulPix grants you a worldwide, royalty-free, non-exclusive, perpetual, and irrevocable license to use the AI-Generated Images made available through our Services under the following terms and conditions:

5.1 Scope of License

You are granted the right to:

• Download AI-Generated Images from our Services to your devices or storage media
• Use Images for both Personal Use and Commercial Use without payment of royalties or license fees
• Modify Images, including but not limited to cropping, resizing, color correction, adding text overlays, and creating composite works
• Create Derivative Works based on the Images for any lawful purpose
• Distribute Images and Derivative Works in any medium, format, or channel now known or hereafter developed
• Sublicense Images as part of larger works or projects, provided that the standalone Images themselves are not sublicensed as a primary offering

5.2 Attribution

Attribution is not legally required when using Images from MulPix. However, we greatly appreciate attribution when it is practical to provide. If you choose to provide attribution, you may use the following format or similar:

5.3 License Limitations

This license does NOT grant you:

• Exclusive rights to any Image — all Images remain available for use by other users
• The right to claim ownership or copyright over the original, unmodified AI-Generated Images
• The right to register copyright for the original Images (you may register copyright for your Derivative Works that include sufficient original creative expression)
• Any trademark, patent, or other intellectual property rights not expressly granted herein

5.4 AI-Generated Content Notice

6. Permitted Uses

The following uses of AI-Generated Images are expressly permitted under this license:

6.1 Personal and Non-Commercial Uses

• Desktop wallpapers, screensavers, and personal device backgrounds
• Personal social media posts and profile images
• Personal blogs, websites, and online portfolios
• Educational projects, presentations, and academic papers
• Personal art projects and creative endeavors
• Personal printing for home decoration (posters, canvas prints, etc.)

6.2 Commercial Uses

• Business websites, landing pages, and marketing materials
• Commercial advertisements, both digital and print
• Product packaging and labeling
• Book covers, magazine illustrations, and editorial content
• Video content, presentations, and multimedia projects
• Social media marketing and paid advertising campaigns
• Mobile applications and software user interfaces
• Templates, themes, and design assets (with appropriate modifications)

6.3 Print-on-Demand and Physical Products

You may use Images on physical products for sale (such as t-shirts, mugs, posters, and similar merchandise), provided that:

• The Image is incorporated as part of a larger design or product, not sold as a standalone unmodified print
• You add meaningful creative value beyond simply reproducing the original Image
• You do not misrepresent the origin or nature of the Image

7. Prohibited Uses

The following uses of AI-Generated Images are strictly prohibited. Violation of these restrictions may result in termination of your license and legal action:

7.1 Illegal and Harmful Uses

• Any use that violates applicable local, state, national, or international laws or regulations
• Creation of content depicting child sexual abuse material (CSAM) or exploitation of minors
• Promotion of terrorism, violence, or illegal activities
• Distribution of malware, viruses, or harmful code

7.2 Deceptive and Misleading Uses

• Creation of deepfakes, synthetic media, or manipulated content intended to deceive viewers about the authenticity of persons, events, or statements
• Spreading misinformation, disinformation, or fake news using Images to give false credibility
• Impersonation of real individuals without their consent
• Fraudulent schemes, scams, or phishing attacks
• False advertising or deceptive marketing practices

7.3 Defamatory and Offensive Uses

• Defamation, libel, or slander of any individual or organization
• Harassment, bullying, or targeted abuse of individuals
• Promotion of hatred, discrimination, or violence based on race, ethnicity, national origin, religion, gender, sexual orientation, disability, or any other protected characteristic
• Non-consensual intimate imagery or revenge pornography

7.4 Intellectual Property Violations

• Using Images in a manner that infringes upon the trademark rights of third parties
• Falsely claiming exclusive ownership or copyright over the original AI-Generated Images
• Registering trademarks incorporating the Images in a manner intended to prevent others from using the same Images

7.5 Redistribution Restrictions

• Redistributing Images on other stock photo, wallpaper, or similar image repository websites
• Selling, licensing, or sublicensing the original, unmodified Images as standalone files
• Mass downloading Images for the purpose of creating a competing image library or service
• Using automated tools to scrape, download, or harvest large quantities of Images without our express written permission

8. Intellectual Property Rights

8.1 MulPix Intellectual Property

The MulPix name, logo, trademarks, service marks, trade dress, and all other intellectual property associated with our brand and Services (collectively, "MulPix IP") are owned by MulPix and are protected by applicable intellectual property laws. You may not use MulPix IP without our prior written consent, except as expressly permitted in these Terms.

8.2 Website Content

The design, layout, look and feel, and graphics of the MulPix website, excluding the AI-Generated Images themselves, are protected by copyright and other intellectual property rights. You may not copy, reproduce, or distribute these elements without our express written permission.

8.3 AI-Generated Images

AI-Generated Images on MulPix are created using artificial intelligence systems. The legal status of copyright for AI-generated works varies by jurisdiction and is subject to ongoing legal developments. MulPix:

• Makes no claim of exclusive copyright ownership over the AI-Generated Images
• Grants you a license to use the Images as described in Section 5
• Makes no warranty regarding the copyrightability of AI-Generated Images in any jurisdiction

8.4 Third-Party Rights

While we strive to ensure that AI-Generated Images do not infringe upon the intellectual property rights of third parties, AI systems may inadvertently generate content that resembles protected works. You are responsible for:

• Conducting your own due diligence before using Images in sensitive contexts
• Ensuring your use does not infringe upon third-party trademarks, copyrights, or other rights
• Obtaining any necessary releases, permissions, or clearances for your specific use case

9. User Conduct

By using our Services, you agree to conduct yourself in accordance with the following standards:

9.1 General Conduct

• Use the Services only for lawful purposes and in accordance with these Terms
• Not interfere with or disrupt the integrity or performance of the Services
• Not attempt to gain unauthorized access to any portion of the Services or any systems or networks connected to the Services
• Not use any automated means (including bots, scrapers, or spiders) to access the Services without our express written permission

9.2 Technical Restrictions

You agree not to:

• Circumvent, disable, or otherwise interfere with security-related features of the Services
• Reverse engineer, decompile, or disassemble any portion of the Services
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices
• Use the Services to transmit any malicious code, viruses, or harmful data
• Overload, flood, or spam the Services or engage in any denial-of-service attacks

10. Disclaimers and Warranties

10.1 "As Is" Provision

THE SERVICES AND ALL CONTENT, INCLUDING AI-GENERATED IMAGES, ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MULPIX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• TITLE
• QUIET ENJOYMENT
• ACCURACY, COMPLETENESS, OR RELIABILITY OF CONTENT

10.2 No Guarantee of Availability

We do not warrant that the Services will be uninterrupted, timely, secure, or error-free. We do not warrant that the results obtained from the use of the Services will be accurate or reliable. We do not warrant that any Images will remain available on the Services indefinitely.

10.3 No Warranty Regarding Third-Party Rights

We do not warrant that AI-Generated Images do not infringe upon the intellectual property rights, privacy rights, publicity rights, or any other rights of third parties. You assume all risk associated with your use of the Images.

10.4 No Professional Advice

The Services do not provide legal, financial, or professional advice. Any information provided through the Services, including these Terms, is for general informational purposes only and should not be relied upon as a substitute for professional advice tailored to your specific circumstances.

11. Limitation of Liability

11.1 Exclusion of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MULPIX, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities
• Loss of data or information
• Loss of goodwill or reputation
• Cost of procurement of substitute goods or services
• Any other intangible losses

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF MULPIX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF MULPIX ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD).

11.3 Essential Purpose

The limitations of liability set forth above are fundamental elements of the basis of the bargain between MulPix and you. MulPix would not provide the Services without such limitations.

11.4 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability for incidental or consequential damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless MulPix, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to reasonable attorneys' fees) arising from or related to:

• Your access to or use of the Services
• Your violation of these Terms of Service
• Your violation of any applicable law, rule, or regulation
• Your violation of any third-party rights, including intellectual property rights, privacy rights, or publicity rights
• Any content or materials you create, publish, or distribute using AI-Generated Images obtained from our Services
• Any claim that your use of the Images caused damage to a third party

MulPix reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate with MulPix in asserting any available defenses.

13. DMCA and Copyright Policy

MulPix respects the intellectual property rights of others and expects our users to do the same. In accordance with the Digital Millennium Copyright Act of 1998 ("DMCA"), we will respond expeditiously to claims of copyright infringement committed using the Services.

13.1 Reporting Copyright Infringement

If you believe that any content on our Services infringes upon your copyright, please submit a notification containing the following information:

• A physical or electronic signature of the copyright owner or a person authorized to act on their behalf
• Identification of the copyrighted work claimed to have been infringed
• Identification of the material that is claimed to be infringing, including its location on the Services (URL)
• Your contact information, including address, telephone number, and email address
• A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law
• A statement, under penalty of perjury, that the information in the notification is accurate and that you are authorized to act on behalf of the copyright owner

13.3 Counter-Notification

If you believe that content was removed or access to it was disabled by mistake or misidentification, you may submit a counter-notification to our Copyright Agent containing the information required by the DMCA. We will process valid counter-notifications in accordance with applicable law.

The Services may contain links to third-party websites, services, or resources that are not owned or controlled by MulPix. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

14.1 No Endorsement

The inclusion of any link does not imply endorsement, approval, or recommendation by MulPix of the linked website or its contents. You access third-party websites at your own risk and should review the terms and privacy policies of such websites before using them.

14.2 Third-Party Services

We may use third-party services for analytics, content delivery, and other functions. Your interactions with these services are governed by their respective terms and privacy policies. Please refer to our Privacy Policy for more information about third-party services we use.

15. Governing Law and Jurisdiction

15.1 Governing Law

These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

15.2 Jurisdiction

Subject to Section 16 (Dispute Resolution), you agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Services shall be brought exclusively in the federal or state courts located in Los Angeles County, California. You hereby consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

15.3 International Use

MulPix makes no representation that the Services are appropriate or available for use in locations outside the United States. If you access the Services from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.

16. Dispute Resolution

16.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at legal@mulpix.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute by contacting you via email. If the dispute is not resolved within thirty (30) days after submission, either party may proceed to binding arbitration.

16.2 Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Los Angeles, California, before a single arbitrator. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures and in accordance with the Expedited Procedures in those Rules.

16.3 Class Action Waiver

YOU AND MULPIX AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and MulPix agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

16.4 Jury Trial Waiver

YOU AND MULPIX HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY. You and MulPix are instead electing that all disputes shall be resolved by arbitration under this Section 16.

16.5 Exceptions

Notwithstanding the foregoing, either party may bring an individual action in small claims court or seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidentiality obligations.

17. Modifications to Terms

MulPix reserves the right, at our sole discretion, to modify or replace these Terms at any time. If we make material changes to these Terms, we will:

• Update the "Last Updated" date at the top of these Terms
• Post the updated Terms on our website
• For material changes, we may provide additional notice through a banner on our website or other reasonable means

Your continued use of the Services after any changes to these Terms constitutes your acceptance of such changes. If you do not agree to the modified Terms, you must discontinue your use of the Services.

We encourage you to review these Terms periodically to stay informed about our terms and conditions. It is your responsibility to check these Terms for updates.

18. Termination

18.1 Termination by MulPix

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including but not limited to:

• Your breach of these Terms of Service
• Your engagement in prohibited activities as described in Section 7
• Your violation of applicable laws or regulations
• Your conduct that we determine, in our sole discretion, is harmful to other users, third parties, or MulPix

18.2 Termination by You

You may terminate your agreement to these Terms at any time by discontinuing your use of the Services.

18.3 Effect of Termination

Upon termination:

• Your right to access and use the Services will immediately cease
• Your license to use AI-Generated Images previously downloaded in compliance with these Terms shall continue, subject to the license terms in effect at the time of download
• All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability

18.4 Service Discontinuation

We reserve the right to discontinue the Services or any part thereof at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.

19. General Provisions

19.1 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions shall continue in full force and effect.

19.2 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by MulPix on the Services, constitute the entire agreement between you and MulPix concerning the Services and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and MulPix.

19.3 Waiver

The failure of MulPix to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by MulPix.

19.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. MulPix may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

19.5 No Third-Party Beneficiaries

These Terms do not confer any third-party beneficiary rights. No person or entity not a party to these Terms shall have any right to enforce any term of these Terms.

19.6 Force Majeure

MulPix shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond MulPix's reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

The section headings in these Terms are for convenience only and have no legal or contractual effect.
